Purchase of «Atlantic Island» vessel
The client has addressed us for full legal support of deal of sale and purchase of vessel from the German shipowner. The shipowner has presented for evaluation a draft of Memorandum of agreement for sale of vessel and vessel’s documents.
Decision
Full legal evaluation of Memorandum of agreement has been performed. Participation in negotiation has been arranged on the side of the buyer with the seller and bank, the owner of a mortgage. Drafts of letters of guarantee have been created for confirmation of parties’ obligations, including the owner of a mortgage. The client has been informed about order of registration of vessels in Russian International Maritime Registry.

Presentation of interest of Russian shipowner in a deal to purchase Ro-Ro vessel from Swedish seller, Partrederiet.
Return of advance payment from deposit bank account
The parties have signed Memorandum of agreement to sale the vessel that has been prepared by us, based on rules of Swedish law. However, due to reasons of financial crisis, the buyer has been forced to withdraw from the deal. The task was to get out of the deal with minimal losses and to return deposit payment.
Decision
The deal has been named void by rules of personal law of a company (our Appointee). The deposit has been withdrawn from bank account in proportion of 75/25 % in favor of our Appointee. The dispute has been settled without application to

Negotiations have taken place with the claimant about settlement of his demand due to high possibility of demands being illegal and economically unsound. Settlement agreement has been drafted with guarantees offered from cargo receiver. Vessel was released from arrest in the period of three days, in reserve period before the next voyage.
