Purchase of «Atlantic Island» vessel
The client has addressed us for full legal support of deal of sale and purchase of vessel from the German shipowner. The shipowner has presented for evaluation a draft of Memorandum of agreement for sale of vessel and vessel’s documents.
Decision
Full legal evaluation of Memorandum of agreement has been performed. Participation in negotiation has been arranged on the side of the buyer with the seller and bank, the owner of a mortgage. Drafts of letters of guarantee have been created for confirmation of parties’ obligations, including the owner of a mortgage. The client has been informed about order of registration of vessels in Russian International Maritime Registry.

Decision
Negotiations have taken place with the claimant about settlement of his demand due to high possibility of demands being illegal and economically unsound. Settlement agreement has been drafted with guarantees offered from cargo receiver. Vessel was released from arrest in the period of three days, in reserve period before the next voyage.

Development of standard contracts of charter and sale of river passenger vessels for river excursion shipping line
The client, «Russian Cruises» LLC has addressed us for development of individual contracts of sale and purchase and of charter of river fleet in an unseaworthy condition. The charter has been planned to include set-off of freight payments against expenses for repair works on chartered vessels with later purchase of these vessels by the charterer.
Decision
Three universal and individual contracts for time charter, bareboat charter and sale and purchase of vessels have been drafted. A mechanism of set-off of freight payments against expenses for repair works on the vessel into a seaworthy state has been created. Control methods for the charterer in relation to crew activities have been introduced. Risks of demurrage of vessels and shortfall of fuel have been eliminated.
Letter of recommendation
